Welcome to Amy.pro, a marketplace-enabled workspace making every business a connected enterprise with enterprise collaboration and apps for doing business smartly. This user agreement (the "Agreement") outlines the terms and conditions governing your access and use of our online workplace productivity tools and platform (the "Services"). Please read this agreement carefully, as it forms a legally binding contract between you and Aumnics Inc. ("Amy"). By accessing or using the Services, you agree to comply with and be bound by this agreement and our responsible use policy (both collectively referred to as the "Terms"). If you access or use the services after being notified of changes to the Terms, you confirm your understanding and acceptance of the revised Terms. Throughout this agreement, "we", "our" and "us" refer to Amy.
As an "Authorized user", you have been invited to join a workspace controlled by a "Customer." The customer may be an organization or a third party. The customer does not have a separate agreement with Amy; rather, the terms of this Agreement apply to the customer and all authorized users using Amy platform. The customer, or entity managing the workspace, is responsible for creating, configuring, and managing the workspace.
Control Over Workspace and Data
Customer Data Ownership: When you, as an authorized user, submit content or information to the services, such as messages, files, or other data ("Customer Data"), you acknowledge that the customer (the entity controlling the workspace) owns this customer data.
Customer Control: The customer has control over the workspace, including permissions, access settings, and choices that affect customer data. They may manage access to the workspace, configure settings, and make decisions regarding the use of the services.
Service Subscriptions and Choices: The customer, as the entity managing the workspace, is responsible for subscription choices and configurations. Authorized users must comply with the configurations set by the customer, and these may include limitations on access or functionality. For more details, please refer to our Help Centre.
Responsibility of the Customer: The customer is responsible for managing the workspace and making decisions regarding access and usage of the Services. This includes managing authorized users, configuring services, and handling customer data.
Amy’s Role: Amy provides the platform and tools that facilitate collaboration within workspaces. We are not responsible for managing customer data or controlling how the customer uses the workspace.
Your Role: As an authorized user, you are granted access to the workspace by the customer and must comply with both this Agreement and any instructions or policies set by the customer.
Service Providers:
Definition: Service Providers are agencies or organizations that list their teams on Amy.pro for hire as contract talent. These service providers offer their expertise, teams, and services to customers for project-based or contract work.
Service Provider Responsibilities: Service Providers are responsible for the accuracy of their listings, the quality of the work they provide, and adhering to the terms agreed upon with the customer. Service Providers must ensure that their teams meet the expectations of customers and maintain the integrity of their offerings.
Service Provider Data Ownership: Service Providers do not retain ownership of the work product (e.g., code, designs, deliverables) they provide to customers, except where specified otherwise in agreements between the customer and service provider. Service Provider once paid agreed fee by customer, the ownership of the work product is transferred to the customer automatically.
Service Provider Fees: Amy charges a transaction fee of [10%] on all payments made to Service Providers for services rendered by clients.
Any company whether its a customer or service provider can purchase any additional subscriptions from the website or the platform that are not mentioned here as well like storage space increase for your organization or other feature subscription as per the needs of your organizations.
Amy.pro Platform Subscriptions
To access various features on the Amy.pro platform, both Customers and Service Providers may need to subscribe to different levels of services based on the functionality they wish to use. The following outlines the subscription structure for both Customers and Service Providers:
A. Customer Subscription Fees
Basic Subscription (Free):
Customers on the platform can access essential project management and collaboration tools, including creating workspaces, managing tasks, and communicating with Service Providers. This plan offers limited access to premium features and marketplace integration.
Up to 10 users (thereafter last 7 days message history accessible)
Video calls (10 users per meeting)
Amy CMS (Access to careers, faqs, tickets, blogs and news & media platforms)
Amy Connect ( Up-to 1000 credit points for leads, Cost compare feature, can subscribe up-to 3 certified packages)
Enterprise AI (Ask Amy) Access to enterprise AI Amy 2.0
Amy pro Subscription ($49 per month)
This subscription grants Customers access to more advanced features such as:

B. Service Provider Subscription Fees
Basic Subscription (Free):
Service Providers can join the platform at no cost and list a limited number of teams or projects on the marketplace. This allows them to be discovered by potential Customers and respond to project proposals.
Premium Subscription ($199 per month)
Service Providers who wish to access additional features may opt for a Premium Subscription, which includes:
Unlimited listings for teams and services on the platform
Enhanced visibility and ranking within the Amy.pro marketplace
Advanced analytics and reporting for performance tracking
Dedicated support for managing customer relationships
Leads subscription of $49, $99, $199, $499, $999 with various features for each subscriptions
Enterprise Subscription:
Enterprise-level Service Providers can also subscribe to the above plans mentioned in the customer subscriptions too.
Dedicated Accounts with Escrow-like Features: Amy uses a secure payment system to facilitate transactions between Customers and Agencies. Payments are held in Amy’s dedicated accounts until project milestones are achieved or services are completed.
Process
Upfront Payment: Customers are required to fund the project upfront by paying into Amy’s dedicated account. Unless first 4 to 5 invoices, after which the payments can be done directly after the work is complete in such a case there won’t be a need to hold the funds until the project is complete. Advance payments are only for outsourced projects and that too for the first few months only until the client and service provider both switch to payments after the work is complete.
Fund Holding: Amy securely holds the payment until:
The service is delivered and accepted by the Customer, OR
A predefined period elapses without dispute.
Dispute Resolution: If a dispute arises, funds are held until the resolution is completed.
Release of Funds: Once services are approved or a milestone is completed, funds are released to the Service Provider by the clients.
Fees and Refunds
Transaction Fees: Amy charges a [10%] transaction fee on all marketplace payments.
Refunds: Refund requests follow Amy’s Dispute Resolution Process. Refunds of Amy’s transaction fee are not provided unless explicitly stated.
Age Requirement: You must be of legal working age in your jurisdiction to use the services. You represent that you meet this requirement. The services are not intended for individuals under the age of sixteen or under the applicable age of majority, as defined by data protection laws.
Compliance: All authorized users must adhere to our responsible use policy and any customer-established policies. Report inappropriate behavior or content to your primary owner or employer.
Account Termination: Your access to the services is at the discretion of the customer or us. If you wish to terminate your account for any reason, contact the customer or go into your account settings on the platform and delete your account and within a stipulated time period the data is fully deleted from our servers. The customer's subscription or our termination may also affect your access.
We may intervene if there's a violation of the contract, this agreement, or our policies. We may take appropriate action if the customer does not act or if there's a credible risk of harm. Neither you nor we will be liable for lost profits, indirect, special, or punitive damages. Our maximum liability to you is limited to one hundred US dollars (USD $100). These disclaimers do not limit your or our rights to seek equitable relief, where applicable by law.
Amy is designed for business and organizational use, not for consumers. Consumer laws may not apply, and you acknowledge this unless specific laws (e.g., the Competition and Consumer Act 2010 (Cth) in Australia) apply and cannot be excluded. Our liability is limited to the extent allowed by applicable law.
Sections titled "Relationship between you, the customer, and us", "Limitation of liability", "Survival" and all provisions under "General provisions" will survive termination or expiration of this Agreement.
Emails and Notifications: Notices will be communicated primarily via email or through the services for authorized users. Notices to Amy should be sent to feedback@amy.pro.
Privacy Policy: Please review our privacy policy for information about data collection and use.
Modifications: We may change this agreement or the responsible use policy as our business evolves. Material changes will be notified to you in advance. Continued use of the services after changes constitutes acceptance.
Waiver: No failure or delay in exercising rights under this agreement will constitute a waiver. Waivers must be in writing and signed by an authorized representative.
Severability: If any provision of this agreement is deemed contrary to law, it will be modified to fulfill the original intent. The remaining provisions will remain in effect.
Assignment: You may not assign your rights or delegate your obligations without consent, and any attempt to do so is void.
Dispute Resolution: Disputes will be handled as per the legal proceedings specified in our terms, and this section does not limit our rights to seek injunctive relief.
Governing Law: This agreement will be governed by the laws of the state of Delaware, and disputes will be resolved in the courts of Delaware.
By continuing to use Amy.pro, you acknowledge and accept the Terms of this User Agreement.
